These Terms & Conditions (“Terms”) govern your access to and use of the website, services, memberships, digital products, and related offerings operated by ZENVY CLUB L.L.C-FZ (“ZENVY Club”, “Company”, “we”, “us”, “our”), registered in Meydan Free Zone, Dubai, United Arab Emirates.

By accessing, browsing, or purchasing from ZENVY Club, you confirm that you have read, understood, and agreed to be legally bound by these Terms.

1. Eligibility & Acceptance

  • You must be at least 18 years old to use ZENVY Club services.

  • By completing any transaction, you acknowledge that these Terms constitute a legally binding agreement.

  • If you do not agree with these Terms, you must not use our services.

2. Digital-First Products & Delivery

  • ZENVY Club operates primarily on a digital delivery model.

  • Memberships, VIBE cards, VIBE boosters, credits, and benefits are delivered digitally and are considered fully delivered upon activation or access.

  • Digital delivery constitutes complete fulfillment, regardless of any optional physical item.

3. Memberships, Benefits & Usage

  • Membership benefits are personal, non-transferable, and may not be resold, shared, or assigned.

  • Any misuse, abuse, or attempt to exploit membership benefits may result in immediate suspension or termination without refund.

  • ZENVY Club reserves the right to modify, suspend, or discontinue any benefit, partner service, or feature at any time.

4. VIBE Credits & Rewards

  • VIBE credits have no cash value and cannot be exchanged for cash.

  • Once used, partially used, or redeemed, VIBE credits are non-refundable and non-reversible.

  • Any attempt to manipulate, duplicate, or misuse VIBE credits will result in account termination.

5. Intellectual Property Rights

All content associated with ZENVY Club, including but not limited to:

  • Membership structures

  • Loyalty systems

  • Product concepts

  • Card designs

  • Logos, trademarks, brand names

  • Texts, graphics, visuals, videos, layouts

  • Website content and imagery

are the exclusive intellectual property of ZENVY CLUB L.L.C-FZ.

Strictly Prohibited:

  • Copying, reproducing, distributing, or modifying any content

  • Downloading or extracting images, visuals, or designs from the website

  • Using ZENVY Club materials for commercial or non-commercial purposes without written consent

  • Creating derivative works, replicas, or imitations

  • Counterfeiting or attempting to replicate any ZENVY product, card, or service

Any violation may result in legal action, including claims for damages and injunctive relief.

6. Website Use & Content Restrictions

  • You may not scrape, crawl, reverse engineer, or attempt to access protected areas of the website.

  • Automated tools, bots, or data extraction mechanisms are strictly prohibited.

  • Unauthorized use of the website may result in civil and criminal liability.

7. Payments, Chargebacks & Disputes

  • All payments are processed through authorized third-party payment gateways.

  • Unauthorized chargebacks, payment disputes, or fraudulent claims constitute a material breach of these Terms.

  • ZENVY Club reserves the right to suspend accounts involved in disputed transactions pending investigation.

  • Users remain liable for all charges incurred through their account.

8. Refunds & Cancellations

  • All refunds and cancellations are governed strictly by our Refund Policy, which forms an integral part of these Terms.

  • No refunds shall be granted outside the conditions explicitly stated in the Refund Policy.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

  • ZENVY Club shall not be liable for indirect, incidental, consequential, or special damages

  • We do not guarantee uninterrupted or error-free service

  • Partner services, merchants, and third-party providers operate independently

10. Indemnification

You agree to indemnify and hold harmless ZENVY CLUB L.L.C-FZ from any claims, losses, damages, liabilities, or expenses arising from:

  • Your misuse of services

  • Violation of these Terms

  • Infringement of intellectual property or third-party rights

11. Termination & Suspension

ZENVY Club reserves the right to suspend or terminate access to services without prior notice if these Terms are violated or misuse is detected.

12. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.

Any disputes shall fall under the exclusive jurisdiction of the courts of Dubai, UAE.

13. Amendments

ZENVY Club may update or modify these Terms at any time. Continued use of services constitutes acceptance of the updated Terms.
