ZENVY CLUB MEMBERSHIP AGREEMENT

This Membership Agreement (“Agreement”) is entered into between ZENVY CLUB L.L.C-FZ (“ZENVY Club”, “Company”, “we”, “us”, “our”), registered in Meydan Free Zone, Dubai, United Arab Emirates, and the individual or entity purchasing or using a ZENVY Club membership (“Member”, “you”, “your”).

By purchasing, activating, or using a ZENVY Club membership, you acknowledge that you have read, understood, and agreed to be legally bound by this Agreement.

1. Nature of Membership

  • ZENVY Club memberships provide access-based benefits, privileges, rewards, and services.

  • Memberships are digital-first, personal, non-transferable, and non-assignable.

  • Membership does not constitute ownership, equity, or guaranteed entitlement to any specific service.

2. Membership Tiers & Benefits

  • Benefits vary by membership tier and may include discounts, rewards, access, or partner privileges.

  • All benefits are subject to availability, partner participation, geographic limitations, and operational constraints.

  • ZENVY Club reserves the right to modify, replace, suspend, or discontinue any benefit or tier at any time.

3. Digital Activation & Fulfillment

  • Memberships are considered fully delivered upon digital activation, access, or availability.

  • Optional physical cards, if purchased, are supplementary only and do not affect digital fulfillment.

  • Failure to receive a physical card does not invalidate membership delivery or activation.

4. Use of Membership

  • Membership benefits may only be used by the registered Member.

  • Sharing, reselling, transferring, or commercial use of membership benefits is strictly prohibited.

  • Any misuse, abuse, or attempted exploitation may result in immediate suspension or termination without refund.

5. Partner Services & Third-Party Providers

  • Certain benefits are provided by independent third-party partners, including but not limited to gyms, lounges, transport providers, merchants, and concierge services.

  • ZENVY Club acts solely as a facilitator and does not control or guarantee third-party services.

  • ZENVY Club shall not be liable for:

    • Service quality

    • Availability

    • Delays, cancellations, or disputes involving partners

6. Geographic & Jurisdictional Limitations

  • Membership benefits may vary by country, city, or region.

  • Not all benefits are available in all jurisdictions, including the United States, Canada, or specific UAE emirates.

  • Members acknowledge that availability is not guaranteed worldwide.

7. Payments, Renewals & Fees

  • Membership fees are charged as disclosed at the time of purchase.

  • ZENVY Club may update pricing, renewal terms, or fee structures with prior notice where required by law.

  • Unauthorized chargebacks or payment disputes constitute a material breach of this Agreement.

8. Refunds & Cancellations

  • All refunds and cancellations are governed exclusively by the Refund Policy.

  • No refunds shall be issued outside the conditions explicitly stated therein.

9. Suspension & Termination

ZENVY Club reserves the right to suspend or terminate membership immediately if:

  • This Agreement is violated

  • Fraud, abuse, or misuse is suspected

  • Legal or regulatory requirements demand such action

No refund shall be issued in such cases.

10. Intellectual Property

All membership structures, branding, systems, content, and materials are the exclusive intellectual property of ZENVY CLUB L.L.C-FZ.

Members may not copy, replicate, distribute, or exploit any aspect of the membership program.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • ZENVY Club shall not be liable for indirect, incidental, or consequential damages

  • No guarantee is made regarding uninterrupted or error-free access

  • Liability, if any, is limited to the membership fee paid

12. Indemnification

You agree to indemnify and hold harmless ZENVY CLUB L.L.C-FZ from any claims, losses, or damages arising from:

  • Your misuse of membership benefits

  • Violation of this Agreement

  • Third-party claims related to your actions

13. Governing Law & Jurisdiction

This Agreement shall be governed by the laws of the United Arab Emirates, without regard to conflict of law principles.

Any dispute shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.

14. Amendments

ZENVY Club may update this Agreement at any time.
Continued use of membership constitutes acceptance of the updated terms.
